These Terms & Conditions (“Terms”) govern the use of www.us.led2work.com (the “Website”) and the sale of products by LED2WORK Inc., 150 North Michigan Avenue, 35th Floor, Chicago, IL 60601, USA (“LED2WORK,” “we,” “us”). LED2WORK sells to businesses and professional users. By using the Website or placing an order, you agree to these Terms.
1. Scope
These Terms apply to all quotes, orders, and sales of LED2WORK products in North America, unless a separate written agreement between you and LED2WORK provides otherwise. Any conflicting or additional terms proposed by the buyer are rejected unless we expressly agree to them in writing.
2. Products and information
Product descriptions, images, specifications, and technical data on the Website are for general information and may be updated or corrected at any time. Illustrations may differ from the actual product. LED2WORK products are intended for the professional and industrial applications described in the relevant product documentation.
3. Quotes and orders
Information on the Website does not constitute a binding offer. An order becomes a binding contract only when LED2WORK confirms it in writing (including by email) or ships the products. We reserve the right to decline any order.
4. Prices and payment
Unless stated otherwise, prices are quoted in U.S. dollars and exclude sales, use, or similar taxes, as well as shipping, duties, and handling, which are added where applicable. Payment terms are as stated on the applicable quote or invoice.
5. Delivery, title, and risk of loss
Delivery dates are estimates and not guaranteed. Unless otherwise agreed in writing, risk of loss passes to the buyer upon delivery to the carrier. Title to the products remains with LED2WORK until payment has been received in full.
6. Limited warranty
LED2WORK products are covered by the manufacturer’s limited warranty applicable to the respective product, as set out in the accompanying product documentation. The warranty covers defects in material and workmanship under normal and intended use for the stated warranty period. It does not cover damage resulting from improper installation, misuse, unauthorized modification, accident, or normal wear.
Disclaimer. To the fullest extent permitted by applicable law, except for the express limited warranty above, the products and the Website are provided “as is,” and LED2WORK disclaims all other warranties, whether express or implied, including any implied warranties of merchantability and fitness for a particular purpose.
7. Limitation of liability
To the fullest extent permitted by applicable law, LED2WORK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business, arising out of or relating to the products, the Website, or these Terms. LED2WORK’s total liability for any claim shall not exceed the amount paid by the buyer for the product giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
8. Returns
Returns are accepted only in accordance with our return policy and generally require prior authorization. Custom-configured or special-order products may be non-returnable. Please contact us to arrange any return.
9. Intellectual property
All content on the Website and all LED2WORK trademarks, logos, and product names are the property of LED2WORK Inc. or LED2WORK GmbH and are protected by law. You may not use, reproduce, or distribute them without our prior written consent.
10. Compliance
The buyer is responsible for complying with all applicable laws and standards relating to the installation and use of the products, including any electrical, safety, and certification requirements applicable in the destination market.
11. Force majeure
LED2WORK is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, supplier failures, transportation disruptions, or governmental action.
12. Governing law and jurisdiction
These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-laws rules. The exclusive place of jurisdiction for any dispute shall be the state or federal courts located in Cook County, Illinois, to the extent permitted by law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
13. Changes
We may update these Terms from time to time. The version in effect at the time of your order applies to that order. The current version is always available on this page.
